1.1. These terms and conditions ("Terms and Conditions" or "Agreement") define all the applicable legal rules, rights and obligations for the use and operation of the Happy Student mobile application ("Application"). Please read these Terms and Conditions carefully in order to use the Application.

1.2. The Terms and Conditions apply to all Users of the Application.

1.3. These Terms and Conditions are issued by Happy Student Limited, a company registered in England and Wales under company number 11947586, whose registered office is at 3rd Floor, 86-90 Paul Street, London, United Kingdom, EC2A 4NE, which is the company owning the Application and providing the Services indicated in these Terms and Conditions ("Happy Student" or "We").

1.4. By downloading the Application and by registering an account, Users confirm that they have read these Terms and Conditions, fully understood their contents, and that they accept them unconditionally. Users who do not accept these Terms and Conditions should stop using the Application.

1.5. Happy Student may update these Terms and Conditions at any time it believes it necessary or reasonable. Please check this page regularly for any updates. A User's continued use of the Application means the User has agreed to any updates.

1.6. Happy Student may stop providing the Services, permanently or temporarily, or any features within the Services, to Users generally at Happy Student's sole discretion, without prior notice.

1.7. Users may stop using the Services at any time. Users do not need to inform Happy Student when they stop using the Services.

1.8. Users acknowledge and agree that if Happy Student disables access to their account, Users may be prevented from accessing the Services, their account details, or any files or other materials contained in their account.

1.9. Users may contact Happy Student by email at support@happystudent.app, at the address given in Article 1.3 above, or through our website at www.happystudent.app.

2.1.2. "Happy Student Services" or "Services" means all services, including the Content, provided by Happy Student to enable the User to carry out the transactions described in these Terms and Conditions. Happy Student may make changes or adaptations to the Services offered in the Application at any time. The rules relating to these changes are announced to Users through the Application.

2.1.3. "User" means any natural or legal person using the Application.

2.1.4. "Subscriber" means a User who has registered an account on the Application.

2.1.5. "Assistant" means the automated, in-app question and answer feature provided within the Application.

3. ACCESS TO SERVICES

3.1. Happy Student is a platform that gives students practical guidance on student life, including safety, health services, housing, transportation, money and everyday living, together with offers and discounts from partner brands. Guidance is tailored to the User's higher education institution and field of study.

3.2. Users access the Content provided by Happy Student by registering an account in the Application. Registration requires a first name, a last name, an email address, the User's institution, course, expected graduation year and preferred language. Users may sign in with an email address and password, or with an Apple or Google account. For information about the data collected, please see our Privacy Policy.

3.3. Happy Student grants the User a revocable, non-exclusive, non-transferable, limited licence to download, install and use the Application strictly in accordance with the terms of this Agreement.

3.4. Users must keep their password and account details confidential and must not disclose them to or share them with anyone.

3.5. Users may not have more than one active account. Users are also prohibited from selling, trading or otherwise transferring their Happy Student account to another party.

3.6. If a User's account is not valid for any reason, for example because we find that the User is in breach of these Terms and Conditions, that person may not use the Services.

3.7. When a User registers with the Application, they state that they are over 16 years of age. The Services are not available to those under the age of 16, or to any User suspended or removed from the system by Happy Student for any reason. By registering for the Services, Users represent and warrant that they are 16 or older and that they have the capacity to understand, agree to and comply with these Terms and Conditions.

3.8. Users agree that any information they provide to us about themselves on registration, on signing in, or at any other time will be true, accurate and complete, and that they will keep that information accurate and up to date. Happy Student reserves the right to terminate a User's account or access to any specific Content if Happy Student learns that the User has provided false or misleading registration information.

3.9. Users have access to information about businesses and services in the local area, such as housing, student supplies, tutoring, transportation, banking and places to eat near their institution.

3.10. The Application is not an emergency service. In an emergency, Users should call 999 in the United Kingdom, or the relevant emergency number in the country they are in, and should contact their institution's own support or safeguarding team where appropriate. Users should not rely on the Application to report or respond to an emergency.

3.11. Users may close their account and delete their personal information at any time, in the Application or by emailing support@happystudent.app. Deletion is permanent. The Privacy Policy explains what deletion covers.

4. CONTENT AND USE OF THE APPLICATION

4.1. Users shall use the Application in accordance with these Terms and Conditions and the governing law.

4.2. Recognising the global nature of the internet, Users agree to comply with all applicable local rules in the jurisdiction from which they access the Application, including rules regarding online conduct and acceptable content.

4.3. The User accepts and undertakes that Happy Student cannot be held responsible for any direct or indirect damage arising from interruption of the Services, disruption to the transmission of information, or any delay or failure.

4.4. If a User believes that any Content has the features set out below, they are to notify Happy Student immediately so that the matter can be investigated and acted on at Happy Student's sole discretion:

4.4.1. Content that is defamatory, profane, sexually or racially offensive, discriminatory, harassing, threatening, obscene or pornographic;

4.4.2. Content that is false, unreliable or misleading;

4.4.3. Content that infringes intellectual property or other legal rights; or

4.4.4. Content that is otherwise objectionable.

4.5. Users must not impersonate any other person or entity, whether actual or fictitious.

4.6. Users may not:

4.6.2. misuse the Application by knowingly introducing any material which is technically harmful, including computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data;

4.6.3. attempt to gain unauthorised access to the Application, the server on which the Application is stored, or any server, computer or database connected to the Application; or

4.6.4. attack the Application by means of a denial-of-service attack or a distributed denial-of-service attack.

4.7. The Application is to be used by the User for personal use only. Users undertake not to use the Application for commercial purposes, to obtain financial gain, or to engage in any activity which might constitute unfair competition. Users may not, without prior written permission from Happy Student:

4.7.1. create a database in electronic or structured manual form by systematically downloading and storing all or any of the Content;

4.7.2. redistribute any of the Content or supply it to other people, including by using or sharing it as part of any library, archive, intranet or similar service, or by sharing links, screenshots, printed pages or parts of the Content saved on any electronic storage;

4.7.3. remove the copyright or trademark notice from any paper or electronic copy of the Content;

4.7.5. except as expressly set out above, modify, reproduce or in any way commercially exploit any of the Content.

4.8. Where a breach by a User of the above may be unlawful, Happy Student may report it to the relevant law enforcement authorities and co-operate with those authorities, including by disclosing the breaching User's identity and the information relevant to that breach. Our Privacy Policy sets out the basis on which we do this.

4.9. Users undertake to contact Happy Student without delay if they become aware of any activity infringing these Terms and Conditions.

4.10. The Application does not allow Users to send messages to one another, to post content visible to other Users, or to publish content on the Application. Happy Student is not a user-to-user service and does not host user-generated content.

5. HAPPY STUDENT RIGHTS AND AMENDMENTS TO THE TERMS AND CONDITIONS

5.1. Happy Student constantly seeks to improve the Application and the Services offered. Happy Student reserves all rights to make alterations to any part of the Application and the Content.

5.2. Happy Student reserves the right to alter, edit, remove, suspend or refuse any Content without notice, if Happy Student considers that it is objectionable, that it violates these Terms and Conditions, or for any other reason.

5.3. Happy Student reserves the right to suspend or terminate a User's access to and use of the Application at any time.

5.4. Happy Student reserves the right at its sole discretion to amend these Terms and Conditions from time to time. Happy Student may at its own discretion notify Users of such changes. Otherwise, subject to Article 1.5 above, Users are to check these Terms and Conditions regularly. Continued use of the Application signifies the User's binding acceptance of the changes.

5.5. Where additional terms apply to specific content or services and form part of these Terms and Conditions, they will be clearly placed and made accessible through the Application.

6. USE OF PERSONAL DATA AND PRIVACY POLICY

6.1. Happy Student treats the privacy of Users very seriously and understands that Users will wish to know how the information collected is used. Please see the Happy Student Privacy Policy, which forms part of these Terms and Conditions.

6.2. All use of Users' personal data will be in accordance with the Privacy Policy and applicable data protection legislation.

6.3. Information which is not personal data may be used, processed, shared, disclosed, classified and stored by Happy Student for promotional, informational and statistical purposes.

6.4. Where Happy Student provides reporting to a partner university or college, that reporting is aggregated and does not identify individual Users. The Privacy Policy sets out the one exception, which concerns urgent safeguarding.

7. INTELLECTUAL PROPERTY

All trademarks, logos, graphics, images, photographs, animations, videos, text and software used in the Application, together with the Application itself, are the intellectual property of Happy Student or licensed to Happy Student. The User's right of use is strictly limited to accessing, downloading, printing and reproducing on any medium for personal, private and non-commercial use of the Services within the scope of these Terms and Conditions.

8. DISCLAIMER OF WARRANTIES AND THIRD-PARTY CONTENT

8.1. Happy Student may display, include or make available third-party content, including data, information, applications, products and services, or provide links to third-party websites or services. Third-party services and links to them are provided solely as a convenience to Users. Users access and use them entirely at their own risk and subject to those third parties' terms and conditions.

8.2. Users understand and agree that Happy Student does not guarantee the accuracy or completeness of any information in or provided in connection with the Application. Happy Student is not responsible for any errors or omissions, or for the results obtained from the use of that information.

8.3. All information is provided on the basis that neither Happy Student, nor its employees, consultants or members, are engaged in rendering legal, medical, counselling, financial or other professional services or advice. Happy Student advises Users to seek appropriate professional advice for any situation or problem.

8.4. Happy Student shall not be responsible for any loss or damage caused, directly or indirectly, by the information or ideas contained, suggested or referenced in the Application.

8.5. Participation in the Services is solely at the User's own risk. No advice or information, whether oral or written, obtained by a User from Happy Student or through the Application shall create any warranty not expressly made in these Terms and Conditions or imposed by law.

8.6. The Application may provide links to third-party websites that are not affiliated with Happy Student, although Happy Student branding may appear on those sites. Happy Student makes no representation as to the quality, suitability, functionality or legality of any site to which it links, or of any goods or services available from such sites.

8.7. All matters concerning goods and services provided by a third party, including all contract terms, are solely between the User and the owner of that site, and Happy Student will not be liable for any cost or damage to the User or any third party arising directly or indirectly out of the User's use of any third-party website. The User waives any claim they might have against Happy Student in respect of such sites.

8.8. Happy Student does not share User email addresses with partner brands for marketing purposes, and does not send marketing emails without consent. Where a User chooses to subscribe to a partner's own communications, or creates an account with a partner, that relationship is between the User and that partner and is governed by the partner's own terms and privacy policy. Happy Student makes no representation or warranty in respect of those communications or of any goods or services obtained as a result, and Users agree that Happy Student shall have no liability in that respect.

8.9. The Assistant generates its answers automatically. Its answers may be incomplete, out of date or wrong, and they are general guidance rather than professional advice. Users should verify anything important with their institution or with a qualified professional before acting on it. Article 8.3 applies to the Assistant in full.

8.10. Some offers, deals and links in the Application are commercial. Happy Student may receive a commission, a fee or other payment where a User clicks a partner link, opens an offer, or buys a product or service from a partner. Some placements in the Application are paid for by the partner. A commercial relationship does not affect the guidance Happy Student gives, and any contract for goods or services is between the User and the partner.

9. INTERNET ACCESS

9.1. Users understand and accept that they are responsible for providing their own communications equipment to access the Application over the internet, and for any charges incurred.

9.2. Users understand and accept that Happy Student shall not be responsible for any reduced functionality resulting from or connected with access to the Application over the internet.

10. LIMITATION OF LIABILITY

10.1. To the extent permitted by law, Happy Student excludes all conditions, warranties, representations and other terms which may apply to the Application or any Content in it, whether express or implied.

10.2. Nothing in these Terms and Conditions excludes or limits Happy Student's liability for death or personal injury arising from Happy Student's negligence, or the negligence of Happy Student's employees, agents or subcontractors, or for Happy Student's fraud, or for any other liability that cannot be excluded or limited by English law.

10.3. Happy Student provides the Application for personal and private use. Users agree not to use the Application for any commercial or business purpose. Happy Student has no liability to Users for any loss of profit, loss of business, business interruption or loss of business opportunity.

10.4. Happy Student shall not be liable for any loss caused as a result of a User using, or not using, the Services, or viewing, reading or listening to any Content available in the Application.

10.5. Happy Student does not warrant that the Application or any Content provided will be secure or free of bugs or viruses. Happy Student accepts no responsibility for any infection by a virus, or by anything with destructive properties, affecting a User's equipment, software or data.

10.6. Nothing in these Terms and Conditions affects a User's statutory rights as a consumer. Where a User deals as a consumer, these Terms and Conditions apply only so far as the law allows, and any statutory rights the User has that cannot be excluded or limited remain unaffected.

11. TERM AND TERMINATION

11.1. This Agreement shall remain in effect until terminated by the User or by Happy Student.

11.2. Happy Student may, at its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

11.3. This Agreement will terminate immediately, without prior notice from Happy Student, if the User fails to comply with any provision of this Agreement.

11.4. On termination of this Agreement, the User shall cease all use of the Application and delete all copies of the Application from their devices.

11.5. Termination of this Agreement will not limit any of Happy Student's rights or remedies at law or in equity in the event of a breach by the User, during the term of this Agreement, of any of their obligations under it.

12. ASSIGNMENT

12.1. Happy Student may assign its rights and obligations under these Terms and Conditions, and on such assignment Happy Student shall be relieved of any further obligation under them.

12.2. Users are not permitted to assign, sub-licence or otherwise transfer their rights and obligations under these Terms and Conditions.

13. ENTIRE AGREEMENT AND SEVERABILITY

13.1. If any provision of this Agreement is held to be unenforceable or invalid, that provision will be changed and interpreted so as to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

13.2. This Agreement, together with the Privacy Policy and any other legal notices published by Happy Student in the Services, constitutes the entire agreement between the User and Happy Student concerning the Services, and supersedes all prior and contemporaneous written or oral agreements between the User and Happy Student.

13.3. If any provision of this Agreement is held invalid by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

13.4. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of that term or any other term, and Happy Student's failure to assert any right or provision under this Agreement shall not constitute a waiver of that right or provision.

14. PROMOTIONS

14.1. Happy Student may from time to time run contests, promotions, prize draws or other activities ("Promotions") that require a User to submit material or information about themselves.

14.2. Promotions may be governed by separate rules that contain eligibility requirements, such as restrictions as to age and geographic location.

14.3. Users are responsible for reading all Promotion rules to determine whether they are eligible to take part. By entering a Promotion, a User agrees to abide by and comply with all rules of that Promotion.

15. GOVERNING LAW AND JURISDICTION

15.1. These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of England and Wales.

15.2. The User and Happy Student agree that the courts of England and Wales shall have exclusive jurisdiction over any action, dispute or claim arising out of or in connection with these Terms and Conditions. Where the User is a consumer resident elsewhere in the United Kingdom, they may also bring proceedings in the courts of the part of the United Kingdom in which they live.

15.3. A User's use of the Application may also be subject to other local, national or international laws.
